Figure AI is not publicly traded
Forge Global's company page says Figure AI is privately held and is not traded on either the New York Stock Exchange or Nasdaq.
Figure's board-approval rule
Figure says every transfer of its stock, or of an interest in its stock, requires approval from its board. The company says transfer restrictions cover both preferred and common shares through its shareholder agreements, employee stock plan or bylaws.
Those restrictions also apply to upstream transactions involving special-purpose vehicles or investment funds that hold Figure stock. According to Figure's notice, a transfer without explicit board approval is void and will not be entered in the company's records.
How Figure describes the buyer risks
Figure tells prospective investors to assume that an offer to participate indirectly in an investment is unauthorized. It warns that pitches from purported sellers or brokers may be scams and that secondary-market platforms may incorrectly say a transfer has company approval.
The notice says buyers in unauthorized transactions risk not being recognized as shareholders, losing their investment and facing potential legal liability. Figure directs anyone checking a proposed transaction to contact legal@figure.ai for confirmation.
